Maples and Calder Advises on the Management Buy-Out of Version 1

The Dublin office of leading international law firm Maples and Calder is delighted to have advised Version 1 on its Volpi Capital-backed management buy-out. This is Volpi Capital's largest transaction to date and sees the investment of €90 million of equity for a significant stake in Version 1.

This funding will drive the company's ambitious growth plans.  Version 1, which is one of Ireland's biggest technology success stories, intends to further expand into the UK and Europe through both organic growth and development acquisitions with the intention of doubling in size over the next five years.

The Maples and Calder team was led by Corporate Partner, Patrick Quinlan.

Commenting on the transaction, Patrick Quinlan said: "I am delighted to have had the opportunity to advise Version 1 on such a significant transaction which I am confident will contribute to their domestic and international growth over the next couple of years and I look forward to working with the team again in the future as they continue to drive expansion."

Tom O'Connor, CEO of Version 1, said: "We have been working closely with Paddy, Sinead and the rest of his team on a number of transactions over the past few years and I can honestly say that they are outstanding in their profession.  The team had a great understanding of the commercial considerations that were fundamental to this transaction and was prompt, responsive and practical in its approach. The team's grasp and understanding of our business made everything easier."

Maples and Calder is a long-standing adviser to Version 1, having previously advised on the acquisitions of Patech Solutions Limited, Rocela Group, Beoley Mill Software and its previous equity fundraising from BDO's Development Capital Fund.

Sinead Garnett is an associate on the Corporate team at Maples and Calder.
