Our Luxembourg Investment Funds team advises clients on the full range of vehicles available under Luxembourg law, including AIFs and AIFM, reserved alternative investment funds (RAIFs), specialised investment funds (SIF), investment companies in risk capital (SICAR), securitisation vehicles (SV), UCITS and UCITS management companies as well as non-regulated SOPARFIs and other asset holding vehicles. In addition, the Investment Funds team advises on a wide range of regulatory considerations related to investment management.
Our Luxembourg Finance team's expertise covers all lending and structured finance legal aspects, most often in the context of cross border corporate and real estate investments and debt restructuring. It also advises on funds financing in connection with the setting up of bridge and capital commitment facilities, with both a bank and a borrower-side practice, acting for both private equity and hedge funds. The team has strong experience in handling the Luxembourg law critical aspects of these transactions, including the review and negotiation of the finance documents as well as the setting up of the security package. They are also often involved in the implementation of securitisation structures.
On the capital markets side, the team advises corporates and investment funds in relation to private or public offering and listing of securities or debt instruments on the regulated or Euro-MTF platform and the negotiation of the terms of the issuing documentation.
Our Luxembourg Corporate team provides a full range of corporate advisory services, representing and assisting publicly traded multinationals, closely held private companies, financial institutions, private equity houses and private investors. Additionally, the team advises buyers, sellers and target companies in all aspects of their M&A activities.
The Corporate team advises regularly on the set up of Luxembourg holding and financing structures (e.g. intra-group financing, cash pooling, cash repatriation, group reorganisation, migration) as well as on ongoing transactions of existing structures.
The team also assists clients with their day to day corporate matters in relation to their Luxembourg structure and provides support for shareholders' meetings and board meetings.
Our Luxembourg Tax team works with the Investment Funds, Corporate and Finance teams providing specialist advice on transactions, and provides standalone advice to clients with regard to developing and implementing global tax efficient structures in line with international tax reform, including substance and transfer pricing.
