The BVI Commercial Court has recently given helpful guidance on the relationship between a derivative claim and an unfair prejudice claim. In particular, the Court has explained whether a derivative claim can be properly included in unfair prejudice proceedings without observing the formalities (especially the need for the Court’s permission) set out in section 184C of the BVI Business Companies Act.
